ADSMANTRAA / POLICIES

Terms & Conditions

Our working process, commitments and service terms.

Draft prepared: 18 October 2026 · Effective date pending approval

1. Who these terms cover

Adsmantraa is a digital services business owned by Vivaan Shah. These terms describe our website development, ecommerce, Shopify and dropshipping setup, performance marketing and SEO engagements. “Client” means the person or business engaging us; a representative must have authority to act for that business. Contact us at support@adsmantraa.com or +91 7702688422.

A website enquiry is a request to discuss a project, not an automatic purchase or acceptance of a paid service. Before starting, we confirm the scope and commercial terms in a written proposal or order confirmation and obtain your acceptance. The contracting identity, tax treatment and applicable payment details must be supplied in that confirmation.

2. Project scope and written approval

The accepted proposal identifies deliverables, pages, integrations, dependencies, charges, revision arrangements and estimated delivery. It should be read alongside these terms and any expressly agreed offer. Mandatory legal rights prevail. A later agreement changes an existing promise only where the change is clearly disclosed and mutually accepted; undisclosed exclusions do not override an advertised guarantee.

We discuss your requirements on an initial call. Please supply accurate business information, content, permissions and timely feedback. Important decisions made on calls should be confirmed in writing. Requests for additional pages, features, integrations or changes outside the accepted scope require a separate agreed estimate before that work begins.

3. Account creation and hosting

During the setup call, we assist with a dedicated email account and the hosting account needed for the project. Accounts must be created with the client’s authorisation, accurate ownership information and in accordance with the relevant provider’s terms. Where the client purchases domain and hosting, those purchases must be completed before development requiring them begins.

The client should control account recovery information and retain receipts and subscription details. Hosting providers, domain registrars and email services have independent terms, renewal rules and availability limits. We do not acquire ownership of your domain merely by helping set it up. Passwords and verification codes should not be sent through the public enquiry form.

4. Fees, payments and third-party costs

The accepted quotation and invoice set out the service price, advance payment if any, milestones and applicable taxes. Do not assume a tax, subscription or advertising budget is included unless the written offer says so. The full and final agreed service payment must be received before final handover.

Domain, hosting, paid themes, apps, payment processing and advertising may involve third-party charges. We will identify known required charges before authorising purchases. Any expenditure on your behalf needs your approval. Amounts paid directly to providers are subject to their terms, without limiting your rights regarding our own service or any express refund promise.

5. Enterprise: one year of domain and hosting

The Enterprise website package includes domain and hosting for one year. The order confirmation must identify the domain, hosting specification, start and expiry dates and renewal arrangements. Any domain upgrade or premium-domain cost must be disclosed and agreed before purchase.

The one-year benefit does not promise indefinite free hosting, maintenance or renewal. Subsequent renewal costs must be disclosed before a renewal is authorised. We will not use an outstanding optional renewal as a reason to retain ownership of an account that belongs to the client. Hosting benefits for other packages must be stated expressly in their accepted offer.

6. Development, revisions and delivery

Once requirements and required access are available, we develop the agreed website. When the initial version is ready, we conduct a revision call, record agreed changes and complete the work within scope before handover. The number of included revision rounds and treatment of additional work must be agreed before work starts; no unspecified limit is imposed retrospectively.

Advertised delivery times are estimates dependent on the agreed scope, required material, approvals and provider availability. If a delay occurs, we explain its cause and provide a revised estimate. Client delays or approved scope changes may affect delivery, but do not remove our obligation to perform the agreed work with reasonable care and skill.

We provide an opportunity to review deliverables against the scope. Silence alone is not an automatic waiver of defects or acceptance of work that does not meet the agreement.

7. Handover, ownership and continuing services

After full and final payment and completion of the agreed work, we hand over the dedicated email account, hosting account and relevant login and management information. Website files are deployed to the agreed Hostinger dashboard where Hostinger is the selected platform. Shopify projects are handed over through the applicable store and platform accounts.

Ownership of the custom website deliverables created for the client transfers at paid handover, subject to any necessary written intellectual-property assignment. Existing agency tools, reusable components, open-source software, fonts, stock assets and third-party products retain their respective ownership and licences. We identify material licence restrictions rather than promising ownership we cannot transfer.

The agreed build engagement ends at handover. Ongoing maintenance, content changes, platform updates, hosting administration and campaign management require a separate engagement unless expressly included. This does not extinguish outstanding correction duties, an applicable guarantee or statutory rights. Handover should include recovery access, licence information and the agreed management guidance.

8. Portfolio use and agency credit

By accepting an engagement incorporating these terms, the client grants Adsmantraa a non-exclusive permission to display the publicly launched website and completed work in our portfolio and agency promotional materials, with the client’s business name and logo solely to identify that work. This permission does not transfer ownership of the client’s brand or allow us to imply unapproved endorsements or business results.

The delivered website will include a discreet “Built by Adsmantraa” credit, normally in the footer. Any confidentiality requirement, embargo, omission or subsequent removal of that credit should be recorded in the project agreement.

Portfolio permission does not authorise disclosure of passwords, customer databases, private dashboards, personal information, confidential financial results or material the client cannot license. Separate permission is needed for identifiable customer testimonials or non-public results. We will address legitimate privacy, confidentiality and third-party-rights concerns when notified.

9. Subcontractors and confidentiality

We may engage freelancers or specialist partners to perform parts of the agreed work. We remain responsible for our contractual commitments; outsourcing does not transfer those obligations to the client. Access should be limited to what the assigned work requires and covered by appropriate confidentiality and data-handling obligations.

Each party must protect the other’s non-public business information and use it for the engagement rather than unrelated purposes. Information already lawfully public, independently developed or lawfully obtained elsewhere is not confidential merely because it is also discussed during a project. Legally required disclosure is limited to the applicable requirement, with notice where permitted.

10. Client content and platform responsibilities

Clients must have permission to provide logos, images, copy, product information and other materials. We will not knowingly publish unlawful, deceptive or infringing content. Both parties must cooperate in correcting substantiated problems within their responsibility.

For ecommerce, the client remains the merchant responsible for the products offered, product safety, lawful claims, fulfilment, customer service and applicable taxes. Supplier sourcing and operational assistance do not make Adsmantraa the seller of the client’s products. Any additional responsibility we agree to take on must be expressly recorded.

Platforms such as Meta, Google, Shopify and Hostinger control their own approvals and policies. We cannot promise uninterrupted access or platform approval. We must nevertheless perform our own agreed setup and management duties properly; a platform dependency is not a blanket excuse for our errors.

11. Dropshipping first-sale guarantee

The guarantee is a promise of at least one sale, not a promise of profit, a particular revenue level, repeated orders or a return on advertising spend. Once the first qualifying sale is achieved, this specific first-sale promise is fulfilled. A test order created by the agency or client is not evidence of an actual customer sale.

Eligibility requires the complete dropshipping setup to be done by Adsmantraa, product pricing to be set by Adsmantraa, and Adsmantraa to control the relevant landing-page product selection, product name, descriptions, images and related content. Adsmantraa must also manage the Meta advertising. That authority remains subject to lawful claims, the agreed scope and the client’s authorised expenditure.

The client must fund a minimum Meta advertising budget of ₹1,000 per day. To qualify for a refund after no sale, a minimum of three products must each be tested for a minimum of three days. A three-day test of only one product does not complete the refund eligibility requirement. Product-test dates, actual campaign delivery, budget allocation and results should be recorded so both parties can verify completion.

If the store receives no sale after those requirements are met, Adsmantraa will issue a full refund of the fees charged for the covered engagement. The offer is not merely a promise to provide more work. The accepted guarantee schedule must itemise the covered fees, including the treatment of setup and advertising-management fees, before payment. It must not retrospectively reduce the advertised refund promise.

The definition of a qualifying sale—including the handling of COD, unpaid, cancelled, fraudulent, returned or refunded orders—must be expressly agreed before testing begins. The parties must also record whether products are tested sequentially or concurrently and how the daily budget applies. No undisclosed condition may later be used to refuse an otherwise valid claim.

Contact support@adsmantraa.com with the project reference, test dates and relevant order/campaign records to request a refund. We review those records with the client, explain the decision in writing and confirm the refund amount, method and processing date. Clients are not required to waive statutory rights or remove legitimate feedback to receive a refund.

Interruptions or client changes should be documented and the effect on testing agreed fairly. They do not automatically erase completed test periods or excuse agency-caused failure. These guarantee terms do not exclude remedies for deficient service or misleading statements available under applicable law.

12. Marketing outcomes outside the specific guarantee

Outside the expressly agreed first-sale guarantee, marketing and SEO deliverables are the agreed work rather than a guaranteed ranking, revenue or return. Results depend on factors including the offer, competition, stock, website operation, customer demand, platform decisions and advertising expenditure.

Reports and forecasts must distinguish measured results from estimates. Ad spend and agency service fees should be itemised separately. Client accounts and campaign information remain subject to agreed access and handover arrangements; account control is not a licence to exceed the authorised budget.

13. Cancellation, refunds and project suspension

A client may request cancellation in writing. We will provide an account of work performed, outstanding obligations, amounts paid and approved third-party commitments. The applicable refund is determined by the accepted cancellation arrangement, the specific first-sale guarantee where relevant, and applicable law. These terms do not declare every payment non-refundable or permit retention of unearned fees without a lawful basis.

A cancellation schedule should be agreed before advance payment. If we cannot perform the agreed service, we will discuss correction, completion, transfer or an appropriate refund rather than rely on an unlimited right to abandon work. Undisputed refunds and earned client rights must not be withheld because an unrelated issue is disputed.

Where a material breach, non-payment or unlawful instruction prevents work, we may give notice explaining the issue and a reasonable opportunity to resolve it where feasible. Urgent security or legal concerns may require an immediate proportionate pause. We will explain the effect on work and cooperate on an orderly resolution.

14. Responsibility and legal rights

Each party is responsible for its own breach and legally attributable conduct. We do not promise that a website will be free of every vulnerability or interruption, but remain responsible for the reasonable care and skill required of our services.

Nothing here excludes liability that cannot lawfully be excluded, including applicable consumer remedies, or excuses fraud or wilful misconduct. There is no blanket waiver of all claims, automatic nominal liability cap or requirement to surrender legal rights as a condition of raising a complaint. Any project-specific limitation requires clear, lawful agreement and does not defeat the express guarantee.

15. Complaints and governing law

Please send service complaints to support@adsmantraa.com or call +91 7702688422, identifying the project and desired resolution. We will seek to resolve the matter directly and explain the next steps. A complaint to us does not remove access to a competent court, consumer forum or regulator, or shorten a statutory limitation period.

Indian law governs the engagement, subject to any mandatory protections that apply. Jurisdiction is determined by applicable law and any valid project agreement; these terms do not invent an exclusive location or impose undisclosed mandatory arbitration. For overseas engagements, applicable mandatory local rights are not excluded merely by choosing Indian law.

16. Changes, notices and surviving obligations

We may update these terms for future engagements and identify the revised version. Existing engagements are governed by the version accepted for that engagement unless the parties expressly agree otherwise or a mandatory legal change requires an update. A website edit alone does not retrospectively change a price, refund promise or ownership right.

Invalidity of one provision does not automatically invalidate the rest where the remainder can lawfully operate. Payment rights, ownership, confidentiality and outstanding remedies continue as appropriate after completion. For the handling of personal information, also read our Privacy Policy.
